Area of Concern: Illegal Investment Offers/Solicitations, Financing and Lending Companies
MANDATE OF SEC
The Securities and Exchange Commission (SEC) or the Commission is the national government regulatory agency charged with supervision over the corporate sector, financing and lending companies, the capital market participants, the securities and investment instruments market, and the protection of the investing public. SEC implements the Revised Corporation Code of the Philippines, The Securities Regulation Code, The Lending Company Regulation Act of 2007, The Financing Company Act of 1998, and other related laws.
JURISDICTION OF THE SEC-LEGAZPI EXTENSION OFFICE
The Securities and Exchange Commission – Legazpi Extension Office (SEC-LEGEO) is an extension office of the SEC which exercises jurisdiction over Region V. Hence, complainants from Region V may file their complaints at SEC-LEGEO. However, if the respondent company has principal office located outside Region V, the complaint will be endorsed by SEC-LEGEO to the appropriate SEC Office having territorial jurisdiction over the respondent. The complainant has the option to file directly with the SEC Office exercising territorial jurisdiction over the respondent company.
COMPLAINTS WITHIN THE JURISDICTION OF SEC-LEGEO
In line with its mandate, the Commission exercises jurisdiction over complaints involving violations of the laws, implementing rules and regulations, as well as circulars, orders and other issuances in the exercise of its regulatory powers. Specifically, the SEC-LEGEO, as an extension office of the Commission, has authority over complaints alleging/involving the following violations:
- Complaints against licensed Financing and Lending companies involving violations of Financing Company Act, Lending Company Regulation Act, Truth in Lending Act and relevant SEC rules, regulations, circulars, orders. (Ex. Acts of harassments amounting to unfair debt collection practices, Imposition of interest rate in violation of ceiling for interest rate, etc.)
- Complaints against unauthorized/unregistered financing/lending companies for engaging in such unauthorized lending/financing activities.
- Complaints alleging unauthorized and/or fraudulent investment solicitations and/or offering of investment contracts and other types of securities
(Ex. Soliciting investment of sum of money with a promise of profit/returns/interest after a given period of time.)
